Terms of Service

These Terms of Service (“Terms”) govern your access to and use of klaravex.com and all services provided by Klaravex LLC (“Klaravex,” “we,” “us,” or “our”). By accessing our website or engaging our services, you agree to these Terms.

1. AI-Assisted Services Disclaimer

Klaravex deploys an AI assistant (“Loki”) as first-line support. You acknowledge:

  • AI outputs are not professional advice. Loki provides IT guidance and readiness advisory information. Nothing Loki says constitutes legal, medical, financial, regulatory, or compliance counsel.
  • Human review is available. P1 and P2 issues are escalated to a senior engineer. Loki handles approximately 60-70% of interactions autonomously; complex matters are escalated to a human.
  • You are responsible for acting on recommendations. Klaravex provides readiness advisory and IT support. You are responsible for final decisions regarding your systems and operations.
  • No guarantee of AI accuracy. AI-generated responses may contain errors. Klaravex makes no warranty that AI outputs are complete, accurate, or current.

2. Services

2.1 Klaravex provides managed IT support, security readiness advisory, AI-assisted first-line support, and professional services.

2.2 The specific scope, deliverables, pricing, and timeline for each engagement are defined in a separate Master Service Agreement (MSA) and Statement of Work (SOW).

2.3 Readiness advisory scope: Klaravex provides HIPAA, SOC 2, and ISO 27001 readiness advisory services (gap assessments, preparation guidance). This is advisory only. Klaravex does not certify your organisation or render legal compliance opinions.

2.4 No PHI processing: Klaravex infrastructure is not HIPAA-eligible. We do not process, store, or transmit Protected Health Information. HIPAA readiness engagements involve scoping questions only.

3. Payment Terms

3.1 Subscription services are billed monthly in advance via Stripe and renew automatically until cancelled.

3.2 One-time services are billed at the time of purchase via Stripe payment link.

3.3 Professional services projects may require a deposit per the applicable SOW.

3.4 Late payment: Invoices unpaid after 15 days may incur a 1.5% monthly late fee. Services may be suspended for accounts more than 30 days past due.

3.5 Refunds: Monthly subscription fees are non-refundable for the current billing period upon cancellation. One-time service fees are refundable within 48 hours if work has not commenced.

3.6 Prices are exclusive of applicable taxes. You are responsible for taxes applicable in your jurisdiction.

4. Limitation of Liability

4.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, KLARAVEX’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) FEES PAID IN THE THREE MONTHS PRECEDING THE CLAIM; OR (B) $1,000 USD.

4.2 IN NO EVENT SHALL KLARAVEX BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA.

5. No Warranty for AI Outputs

LOKI AI AND ALL AI-GENERATED OUTPUTS ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ACCURACY.

6. Intellectual Property

All content on klaravex.com, including text, graphics, logos, and service methodologies, is the property of Klaravex LLC. You may not reproduce, distribute, or create derivative works without prior written consent.

7. Acceptable Use

Your use of klaravex.com and Loki AI is subject to the Klaravex Acceptable Use Policy. Use of our services for unauthorized access attempts, malicious content, or illegal purposes is strictly prohibited.

8. Termination

Either party may terminate a subscription with 30 days written notice. Klaravex may terminate immediately for AUP violations, non-payment after 30 days, or security risk to other clients.

9. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States of America, without regard to conflicts of law provisions. Disputes shall first be subject to good-faith negotiation; if unresolved within 30 days, to binding arbitration under AAA rules in Wyoming.

10. Changes to These Terms

Klaravex may update these Terms at any time. Material changes will be communicated to active clients via email at least 30 days before taking effect.
